Terms of Service These Terms govern the use of Link-Win (the "Service"). Store administrators, store staff, LINE members, and Web members who use the Service agree to these Terms. Non-Japanese pages are reference translations. If there is any inconsistency, the Japanese version prevails. 1. Service Description The Service is B2B SaaS for small stores in Japan. It provides LINE or Web memberships, store points, direct referrals, reservations, store point issuance at checkout, and service-notice management. The Service does not collect end-customer product or service payments on behalf of stores, and does not provide funds transfer, payment collection, electronic money, prepaid cards, investment, or revenue distribution. 2. Store-Issued Points and Direct Referrals The value, expiration, usage conditions, expiration conditions, and availability of points issued by a store are determined by that store. Store points are for use at the relevant store and cannot be redeemed for cash, transferred, sold, lent, or exchanged for another store or service. Referral points are issued only for spending by customers directly introduced by the referrer at the relevant store. There are no second-level or third-level upstream rewards. The Service is not chain selling, MLM, an investment, or a multi-level revenue-distribution system. Each store is responsible for setting referral and visit points in compliance with the Act Against Unjustifiable Premiums and Misleading Representations, other applicable laws, and normal commercial practices. If a transaction is returned, cancelled, refunded, mistakenly recorded, or otherwise corrected, the store or operator may cancel related point issuance, adjust balances, or expire points. Disputes between stores and customers about sales, services, or store points should generally be resolved between those parties. 3. Reservations A reservation is confirmed automatically when it satisfies the store's configured business dates and hours, acceptance deadline, party size, capacity, and other rules. Users can review the latest status in the Service and change or cancel before the store's configured deadline. Email and LINE notices are supplementary and may not arrive because of sending failures, delays, recipient settings, or other circumstances. A missed notice does not affect the validity of a reservation, change, or cancellation; the latest status displayed in the Service controls. The Service is not a party to the sale, dining, or service contract between the store and customer. Actual fulfillment, contact, changes, cancellations, and no-show handling are handled between the store and customer. Reservation V1 does not provide advance payment or collect cancellation fees. When a store enters a phone, social-media, or other external reservation as a temporary guest, it must enter accurate information only as necessary for customer support and handle it appropriately. 4. Service Credits for Store Administrators Service credits are service-use balances for Link-Win store-management functions. The prescribed amount is consumed when a store uses checkout processing with customer store point issuance, fixed LINE service notices, reservation-related LINE notices, and other paid functions. A paid reservation-related LINE notice costs 5 credits; no credit is consumed when no message is sent or the sending result is a definite failure. Other paid operations are charged at the amount displayed before execution. Service credits can be used only within Link-Win and cannot be redeemed for cash, transferred, sold, lent, or exchanged for another service. They are not electronic money, prepaid cards, funds transfer, payment collection, a means of purchasing third-party goods or services, or collection of end-customer payments. Purchased service credits expire 180 days after purchase and balances with the earliest expiration are consumed first. 5. Notices The Service currently does not provide store-controlled advertising or promotional broadcasts. It sends only required notices concerning reservations, point issuance, use, direct-referral rewards, upcoming expiration, accounts, and security. If marketing notices are offered in the future, separate consent, unsubscribe methods, and sending records will be implemented. 6. Prohibited Conduct Users must not: - Use false information, gain unauthorized access, or impersonate another person - Improperly manipulate store points, referral relationships, checkout history, reservation capacity, or notification functions - Improperly hold reservation capacity, make false reservations, or interfere with another user or store - Use customer information obtained or viewed through the Service for anything beyond the store's own reservations, points, direct referrals, and customer support, or export, sell, or provide it externally to a third party - Harass another user, store, or the operator, or infringe their rights - Interfere with the Service's security, systems, or external services - Violate laws, regulations, public order, morals, or the LINE Official Account Guidelines - Set a false, misleading, excessively promotional, infringing, adult, gambling, illegal-product, MLM, or otherwise inappropriate store name or website - Use the Service or LINE Official Account as a third-party advertising medium, resold advertising inventory, or channel for unrelated third-party information - Circumvent deletion or suspension of an inappropriate store name or website 7. Disclaimer The Service may become temporarily unavailable because of system or external-service failures, communication conditions, or specification changes by LINE, Stripe, or another third party. Except in cases of intentional misconduct or gross negligence by the operator, the operator is not liable for damages arising from use of, or inability to use, the Service. 8. Changes to Terms The operator may change these Terms as necessary. Important changes will be notified through the Service or another appropriate method.
